License Agreement

By opening, copying or installing our Data, Software and, or any related package supplied by Oricode, you become a Licensee. As a Licensee you agree to be bound by the terms of this license Agreement. Any reference to "he" in the Agreement shall be taken as a reference to "he" or "she".

Title

The "Data" means trading information for securities, and related or derived information.

The "Software" as referred to herein means the Oricode "Kibot Updater", "Kibot API Client", "Kibot Agent" and "Kibot API" Software.

The "Documentation" as referred to herein means the written materials that you may receive in connection with the Data or Software.

License Grant

"You" or "your" as used herein means the person or company who is being licensed to use the Data and Software, as defined below. "We," "us" and "our" as used herein means Oricode.

We hereby grant you a non-exclusive, non-transferable, revocable license to use the Data, Software and Documentation on the following terms:

  • The Licensee warrants that he will not resell or redistribute the Data or the Software.
  • The Data is for the private use of the Licensee only.
  • Licensee may use our Data and Software on two computers that are normally accessed by the Licensee for personal use.
  • Licensee may copy the Data and Software for archival purposes provided that any copy contains all of the original Data and Software's proprietary notices.

No Separation or Transfer of License

The Data and Software is licensed as a single product and the Licensee agrees that the material comprising the Data and Software will not be transferred to any other party.

Rent or Lease

The Licensee agrees that he will not rent or lease Data and Software provided by Oricode.

Subscription information

The Licensee agrees that he is responsible for protecting the confidentiality of his account information and that he will not make his user details available to another party. Data subscriptions are renewed on a monthly basis and can be cancelled or suspended by the Licensee. Refunds will not be provided in the event that the Licensee determines that a Data service is no longer required.

Accuracy of information

All material is provided in good faith and is derived from sources believed to be accurate. Oricode and its associates do not make any representation or warranty as to the timeliness, reliability, accuracy or completeness of the Data, nor do they accept any responsibility arising in any way from errors in it or omissions from it. Nothing in these conditions shall exclude, restrict or modify any condition or warranty implied by law. Oricode and its associates may provide corrections to the Data without notice.

No liabilities for consequential damages

The Licensee agrees that Oricode and its associates in no event will be liable for any damages, including any lost profits, lost savings, or other incidental or consequential damages arising out of or relating to delays, omissions in collection and dissemination of the Data, or for the inaccuracy of information. The Licensee agrees that, to the maximum extent permitted by applicable law, in no event shall Oricode and its associates be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, computer failure or malfunction, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Data or Software, even if Oricode and its associates have been advised of the possibility of such damages.

Modifications, Derivative Works and Reverse Engineering

The Licensee agrees that he will not in any way copy, modify, translate, reverse engineer, decompile, disassemble or create derivative works or allow any other party to copy, modify, translate, reverse engineer, decompile, disassemble or create derivative works based upon the Software or Documentation.

Notices

The Licensee agrees that he will not remove any proprietary notices or labels on the Software or Documentation.

Termination

This License Agreement shall terminate automatically if the Licensee fails to comply with the limitations described in this license. On termination, the Licensee must destroy all copies of the Software, Documentation and Data.
